Australian Company Secretaries was formed in 1993 to provide
company
secretarial, governance and compliance
services primarily to Australian public
companies.
Governance
On the governance front we have assisted in board restructures, formation of board committees, prepared governance charters, including charters for audit, remuneration and nomination committees, codes of conduct, whistleblower schemes and share trading policies. We have advised on share splits and capital restructures.
Board structures
We have assisted with the sensitive removal of directors and chairmen, advised on independence of directors, appointment of board chairman, functioning of boards and appointment of new directors. |
